Terms that apply to use of this website and to NMCTech products and services when you engage with us.
1. Who we are
NMCTech is the technology and product ecosystem from NoeticMinds. These Terms & Conditions ("Terms") govern your use of the website at nmctech.cloud and related pages, and apply to purchases or use of NMCTech software products and custom software services to the extent described here and in any separate written agreement.
Where a signed proposal, order form, statement of work or licence agreement exists, that document prevails if there is a conflict with these website Terms.
2. Website use
You may use this website to learn about NMCTech products and to contact us. You agree not to:
- Use the site in a way that is unlawful or that interferes with its operation
- Attempt unauthorised access to systems, accounts or data
- Submit false or misleading information through forms
- Copy or misuse site content beyond fair use for evaluating our services
3. Products and services
NMCTech offers purpose-built software products (including ClubPass, ClassPass, SalesSutra, SPOTon, Dialog and ecomSutra) and may also provide custom software and related professional services when requirements do not fit an existing product.
Product features described on the website are general descriptions. Exact scope, modules, limits, environments and support terms are confirmed in the commercial arrangement for your organisation.
4. Accounts and access
If you are given access credentials for a product, you are responsible for keeping them confidential and for activity under your accounts. Notify us if you believe access has been compromised.
Access is provided only for the period and users covered by your commercial arrangement, unless otherwise agreed in writing.
5. Fees and payments
Fees, taxes, billing frequency and payment methods are as stated in your quote, invoice or checkout screen. Pricing shown on the website may be indicative and subject to confirmation.
Online payments, when enabled, may be processed by a third-party payment provider such as Razorpay. Card and payment data entered on the payment provider's checkout are handled by that provider under its own terms and privacy practices.
You agree to pay undisputed amounts when due. Late or failed payment may result in suspension of access after notice, where applicable.
6. Intellectual property
NMCTech products, documentation, branding and website content remain the property of NoeticMinds / NMCTech or their licensors. Purchase or subscription grants a limited right to use the software as agreed — not ownership of the underlying software, unless a written agreement expressly says otherwise.
Customer data entered into a product remains the customer's data, subject to applicable law and the Privacy Policy.
7. Acceptable use of products
You must not use NMCTech products to:
- Violate applicable law
- Infringe others' rights
- Send unlawful or abusive communications
- Attempt to reverse engineer products except where law allows
- Resell or provide the service to third parties unless your agreement allows it
8. Third-party services
Some products may integrate with or rely on third-party services (for example payment gateways, telephony providers, accounting software or hosting). Those services are governed by their own terms. NMCTech is not responsible for third-party outages or policy changes outside its control.
9. Disclaimers
The website is provided on an "as available" basis. We do not claim uninterrupted availability of the website or of any product unless that is expressly committed in a written agreement.
Software is provided for business use as configured for your organisation. We do not claim that any product will meet every business need without configuration, training or custom work.
10. Limitation of liability
To the extent permitted by law, NMCTech / NoeticMinds are not liable for indirect, incidental or consequential losses arising from use of the website or products. Direct liability, if any, is limited as set out in your written commercial agreement, or otherwise to fees paid for the relevant service in the period stated in that agreement.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
11. Cancellation and refunds
Cancellation and refunds are described in the Refund & Cancellation Policy.
12. Changes
We may update these Terms from time to time. The "Last updated" date will change when we do. Continued use of the website after updates means you accept the revised Terms for website use. Material changes to paid product terms will be handled through the applicable commercial process where required.
